BP CEO downplays speculation of megamerger

BP Chief Executive Bob Dudley has hinted that he is not interested in a transformational merger with another major oil company, the Financial Times reported. Dudley, speaking at the HIS CERA Week conference yesterday, 21 April, said he is happy with BP’s portfolio and that he does not see any impetus for substantial consolidation unless the price of oil remains low for a considerable length of time. Dudley also questioned whether scale is seen as a positive attribute in the industry.

Dudley’s comments follow speculation that Royal Dutch Shell’s GBP 55bn (EUR 76.54bn) agreed takeover of FTSE-100 rival BG Group could prompt megamergers of major oil companies.

The item noted speculation that BP might attract an offer from a competitor, and that there have been persistent rumours thatTexas-based ExxonMobil might make an offer for BP.

BP’s Gulf of Mexico assets and its stake in the Russian energy group Rosneft would benefit ExxonMobil, the item said. However, some analysts cited by the newspaper argued that ExxonMobil is unlikely to make a move on BP while uncertainty remains regarding BP’s liabilities from the Deepwater Horizon oil spill.

Dudley’s comments suggest that BP’s board might be resistant to any offer from ExxonMobil, the item said.

Separately, the article said that BP had denied a report from Bloomberg claiming that the FTSE-100 company was consulting with advisers about defence strategies against potential takeover scenarios. A Bloomberg report yesterday, 21 April said BP was talking to advisers including Morgan Stanley.

BP’s market capitalisation stood at GBP 87.62bn (EUR 121.93bn) at the close of trading in London yesterday.

Perrigo Board Unanimously Rejects Unsolicited Proposal From Mylan

This is an announcement falling under Rule 2.4 of Irish Takeover Panel Act, 1997, Takeover Rules, 2013 (the "Irish Takeover Rules").

Proposal Substantially Undervalues Perrigo and is Not in the Best Interests of Shareholders

Perrigo has Proven Track Record of Value Creation, Generating Returns of over 970% since Fiscal 2007

Perrigo's Organic Net Sales Three-Year CAGR Goal for 2014 - 2017 is 5-10%

PR Newswire

DUBLIN, April 21, 2015

DUBLIN, April 21, 2015 /PRNewswire/ -- Perrigo Company plc ("Perrigo") (NYSE: PRGO; TASE) today announced that its Board of Directors has unanimously rejected the unsolicited Proposal (the "Proposal") from Mylan NV ("Mylan") (NASDAQ: MYL), disclosed April 8, 2015, to acquire all of the outstanding shares of Perrigo for $205.00 per share. Following a thorough review, advised by its financial and legal advisors, the Board unanimously concluded that the Proposal substantially undervalues the Company and its future growth prospects and is not in the best interests of Perrigo's shareholders.

Key factors informing the Board's determination include:

o The Proposal substantially undervalues Perrigo's differentiated global business, including the Company's leading market position in key franchises, global distribution platform, and proven expertise in product development and supply chain management; o The Proposal would deny Perrigo shareholders the full benefits of Perrigo's durable competitive position and compelling growth strategy, which is reflected in the Company's three-year organic net sales compound annual growth rate (CAGR) goal for calendar 2014 to 2017 of 5-10%; o The Proposal does not take into account the full benefits of the Omega Pharma acquisition, which closed on March 30, 2015, including additional value to be derived from synergies and increased global presence; and o The Proposal does not take into account Perrigo's innovative new product pipeline, which is expected to generate nearly $1 billion in net sales over the next three years, excluding sizable upside from potential new indications for Tysabri®.

Joseph C. Papa, Chairman, President and CEO, said, "The Board believes the Proposal substantially undervalues Perrigo and its growth prospects and that continued execution by the management team against our global growth strategy will deliver superior shareholder value. Perrigo has a long history of driving above market shareholder value through consistent growth with a focus on profitability and operational excellence, which is reflected in our organic net sales CAGR goal of 5-10% for the next three years.  With the acquisition of Omega Pharma, we are a top five global OTC company with a diversified portfolio, a leading market position in key franchises and a strong and established global distribution platform. We will continue to capitalize on our durable competitive position by expanding our international platform organically and through future synergistic deals.  These actions will advance our leadership in the global OTC marketplace."

Mr. Papa continued, "Perrigo's Board believes that the Company has a strong independent future and is well positioned to continue to drive superior growth and shareholder value and provide high 'Quality Affordable Healthcare Products®' to customers and consumers globally.  The Board's confidence is built upon the Company's durable competitive position, compelling growth strategy, and strong and consistent track record of delivering results for shareholders under its experienced management team. Since fiscal 2007, we have delivered compound annual sales growth of 16%, increased adjusted operating margin by over 1,600 basis points and generated total shareholder returns of over 970%."

Perrigo has today separately announced results for the third quarter of fiscal 2015 ending March 28, 2015 and has provided guidance for calendar year 2015 in connection with its upcoming move to a calendar fiscal year.  In the quarter, Perrigo generated record revenue, adjusted net income and operating cash flow. In addition, Perrigo's three-year organic net sales CAGR goal from 2014 to 2017 is 5-10%.

Shareholders are strongly advised to take no action in relation to the Proposal.  There can be no certainty that any firm offer will be made, nor any certainty as to the terms on which any firm offer might be made by Mylan.

Morgan Stanley & Co.  LLC acting through its affiliate, Morgan Stanley & Co. International plc is acting as financial advisor and Wachtell, Lipton, Rosen & Katz and A&L Goodbody are acting as legal advisors to Perrigo.

>>> US Close Dow-0,47% S&P-0,15% Nasdaq+0,39% Russell-0,07%

Closing Market Summary: Stocks End Mixed With Earnings in Focus

The stock market ended Tuesday on a mixed note with the Dow and S&P 500 losing 0.5% and 0.2%, respectively, while the Nasdaq Composite (+0.4%) outperformed.

Today's session was relatively quiet as equity indices diverged during the opening hour of action and maintained narrow ranges into the afternoon. The S&P 500 opened with a nine-point gain, but was back near its flat line before the opening hour ended.

For its part, the Nasdaq spent the day near its early high thanks to solid gains among biotech names after Teva Pharmaceutical (TEVA 64.14, +0.85) offered to acquire Mylan (MYL 74.11, +6.06) for $82.00/share in cash and stock. The two names posted respective gains of 1.3% and 8.9% while the iShares Nasdaq Biotechnology ETF (IBB 364.50, +6.55) settled higher by 1.8%. Furthermore, the health care sector advanced 0.7% and was the only sector with a gain larger than 0.1%.

Meanwhile, the consumer discretionary space (+0.1%) was the second-best performer with homebuilders showing broad strength. DR Horton (DHI 28.53, +0.49) jumped 1.8% ahead of tomorrow's earnings report while the broader iShares Dow Jones US Home Construction ETF (ITB 27.87, +0.39) gained 1.4%. On the earnings front, Under Armour (UA 83.54, -4.22) tumbled 4.8% after reporting in-line results and guiding below analyst expectations.

In other earnings, four Dow components delivered bottom-line beats since yesterday, but only one—Travelers (TRV 101.88, -4.26)—showed year-over-year revenue growth while United Technologies (UTX 116.95, +0.44), DuPont (DD 70.69, -2.15), and IBM (IBM 164.26, -1.90) saw their top lines contract.

Overall, cyclical sectors were responsible for the slide from opening highs with four of six growth-sensitive groups registering larger losses than the S&P 500. The energy sector (-1.0%) finished at the bottom while crude oil fell 2.3% to $56.58/bbl. The dollar was not a big factor today as the Dollar Index (97.96, +0.02) surrendered its modest overnight gain during morning action.

Elsewhere among cyclical groups, financials (-0.5%) and industrials (-0.2%) lagged with the latter pressured by General Electric (GE 26.62, -0.40). The conglomerate surrendered 1.5% while transport stocks overcame their early weakness. The Dow Jones Transportation Average added 0.3% even though Kansas City Southern (KSU 105.17, -2.20) lost 2.1% after missing bottom-line estimates.

Treasuries ended on their lows after sliding from their overnight highs, sending the 10-yr yield up two basis points to 1.91%.

Today's participation was relatively light with fewer than 700 million shares changing hands at the NYSE floor.

Investors did not receive any economic data today, but tomorrow's session will include the 7:00 ET release of the weekly MBA Mortgage Index, February FHFA Housing Price Index at 9:00 ET, and the Existing Home Sales report for March at 10:00 ET (Briefing.com consensus 5.05 million).

U.K. Man Arrested on Charges Tied to May 2010 ‘Flash Crash’

Dow Jones Industrial Average dropped 600 points within minutes in 2010

A U.K. man was arrested on Tuesday on U.S. charges that he contributed to the May 2010 “Flash Crash” in which the Dow Jones Industrial Average plunged 600 points, the Justice Department said.

Navinder Sarao is in the custody of U.K. authorities and faces charges of fraud, manipulation and a high speed trading practice known as “spoofing,” the agency said.

Mr. Sarao also faces charges from the U.S. Commodity Futures Trading Commission, which claims he played an integral in contributing to the Flash Crash.

The CFTC said the spoofing techniques involved placing and quickly cancelling large orders “with no intention of the orders resulting in transactions.”

Navinder Sarao operated from his residence in the U.K. and traded through his own company, Nav Sarao Futures Ltd.

The CFTC, in its complaint, said Mr. Sarao over a period of five years “engaged in a massive effort to manipulate” the price of a stock market index futures contract—E-mini S&P—“by utilizing a variety of exceptionally large, aggressive and persistent spoofing tactics.”

The CFTC said the conduct continued until as recently as April 6, 2015.

(Makor) Technical View S&P 500 Index (2,103 last) - must crack 2,111-2,119 to ar

                Summary

·         The Index is trading in a 2,040-2,119 range

·         While this range persist it is hard to determine the direction of the break.

·         Statistic wise, nearly 75% of those consolidation patterns end with a breakout in the direction of the previous trend but given the fact that a similar pattern was established on the chart in late 2014 (which ended with an upside break) the odds of an upside break again are relative lower

·         All in one it would probably be best to play the range until we break the range

Strategy: Long from 2,075 closed at 2,103 for 1.34% gain, Go Short at mkt price, target 2,040 with a stop on a close above 2,020
