Takeda, on December 5 ask Osaka for extraordinary general meeting Shire
Takeda Pharmaceutical has officially announced that it will hold an extraordinary shareholders' meeting in Osaka that quests for the pros and cons of the acquisition of Ireland's pharmaceutical major Shire. The event date is December 5, and a notice of convocation is sent to nearby shareholders. Shire will also open at extraordinary plenary on the same day (London time), as soon as the acquisition is completed on January 8, 2019. Japan's first gigantic pharmaceutical company (mega · pharma) with sales exceeding 3 trillion yen is born.
In May, Takeda Pharmaceutical will buy less than 7 trillion yen against Shire ...
Stocks were mixed in Asia and futures pointed to a firm start for equity markets in London and New York as investors assessed whether the recent rallies can endure. The pound slid as U.K. Prime Minister Theresa May fought to keep her Brexit divorce plan alive.
Shares drifted for most of the Asian day, with equities in Japan and Hong Kong little changed, while they gained in China. The region’s stocks shrugged off leads from a weak U.S. session on Friday when large-cap tech stocks dragged the Nasdaq 100 Index to a loss of more than 1.5 percent. Oil prices snapped a 10-day sell-off after the bear market for crude spurred OPEC and its allies to start laying the groundwork to cut supply in 2019. Yields on 10-year Treasuries, which don’t trade Monday thanks to a U.S. holiday, ended just below 3.2 percent on Friday.

Athenahealth agrees USD 5.5bn cash sale to Veritas Capital, Elliott Management - report
12 NOV 2018
Athenahealth [Nasdaq:ATHN] is to be acquired by Veritas Capital, a private equity company, and Elliott Management for USD 5.5bn, FT.com reported. A trio of sources knowledgeable about the all-cash USD 135-per-share transaction said the deal has been agreed, the report stated.
The acquisition is expected to be made public early today, 12 November, the item reported.
Elliott, a hedge fund which already has an approximately 9% stake in Athenahealth, will use its private equity subsidiary Evergreen Coast Capital to acquire a larger equity stake in the Massachusetts-based business, the report said.
Neither Athenahealth, Elliott nor Veritas wished to comment, the item reported.

TomTom receives takeover bids from CVC, Cinven, Silver Lake
The Netherlands-based navigation specialist TomTom [AMS:TOM2] has received acquisition bids from investment companies CVC Capital Partners, Cinven and Silver Lake, the Dutch daily De Telegraaf reported, based on an article by TMT Finance.
TomTom received the bids while it is still exploring the sale of its Telematics division, sources familiar with the matter told TMT Finance, the report said.
TomTom declined to comment, stating however, that the company is not considering a complete sale at the moment, the report added.
Rumours about a possible sale of TomTom have been circulating for some time now. TomTom CEO Harold Goddijn was recently quoted as saying he does not rule out that TomTom could be taken over by another company once the Telematics division is sold.

Vivendi poised to hire six banks for Universal Music stake sale - report
12 NOV 2018
Vivendi’s [EPA:VIV] proposed sale of a potential 50% stake in Universal Music Group of California is making progress and the appointment of investment banks is imminent, The Daily Telegraph reported. The unsourced report said six or so banks are close to being hired, having taken part in a beauty parade during the past few weeks.
Universal Music has an approximately GBP 30bn (USD 39bn) valuation, the report said.
Revolut in talks with Softbank Vision Fund re potential investment
Revolut, the London-based online challenger bank, has held early-stage discussions with Softbank’s Vision Fund regarding a future investment, The Times reported. A person directly knowledgeable about the situation said a final decision is unlikely to be made in the next few months.
A fintech investor in London suggested Revolut’s next round of funding might raise up to USD 500m. The Vision Fund makes a minimum investment of USD 100m, the report said.
Last April, Revolut achieved a USD 1.7bn valuation in a funding round which raised USD 250m, the item noted.
The USD 100bn Softbank tech fund has also discussed investment with Revolut’s peer Oaknorth, and those talks are believed to be at a more advanced stage, though any decision also remains months away, the item reported.
The S&P 500 rose 2.1% this week, but had to weather a late week sell-off after the latest policy statement from the Federal Reserve humbled an upbeat reaction to the midterm elections. Neither outcome was a surprise, but they were representative of recent market volatility. The Dow Jones Industrial Average and the Nasdaq Composite also finished the week higher, adding 2.8% and 0.7%, respectively. The Russell 2000 added 0.1%.
In the stock market, the health care (+4.0%), real estate (+3.6%), and utility (+3.1%) groups led the way. Of note, health care has surpassed the information technology (+1.4%) and consumer discretionary (+2.0%) sectors for the top spot in the yearly sector standings with a 2018 gain of 12.4%. For comparison, tech is up 10.7%, and consumer discretionary is up 10.9%. Conversely, the communication services sector was the only group to finish in negative territory with a weekly loss of 0.2%.
In earnings, some notable companies that had upbeat reports included Berkshire Hathaway (BRK.B), CVS (CVS), Eli Lilly (LLY), Humana (HUM), and Walt Disney (DIS). On the other hand, Skyworks Solution (SWKS) led chip stocks lower on Friday after it issued below-consensus Q1 earnings and revenue guidance. Skyworks, which is an Apple(AAPL) supplier, warned of slowing chip demand, continuing a disappointing trend out of the semiconductor industry.
Also of note, WTI crude lost 4.8% this week, entering bear market territory and extending its decline from last month's four-year high. U.S. President Donald Trump granted temporary wavers on Monday to eight countries who import oil from Iran after the U.S.'s energy sanctions on the OPEC member were officially reimposed.
