Hermès tente de colmater la dernière brèche de son capital
Les trois familles actionnaires d'Hermès s'efforcent de ramener dans le giron du sellier Nicolas Puech, le dernier petit-fils d'Emile Hermès qui n'est pas encore associé aux holdings de contrôle. Une initiative diplomatico-patrimoniale visant aussi à couper le dernier circuit permettant encore aux héritiers de céder des titres du groupe.
C'est un pas de deux hésitant, entamé il y a quelques mois et dont l'issue reste encore largement incertaine. A Sion, la petite ville du Valais suisse où il réside une partie de l'année, Nicolas Puech, seul descendant d'Emile Hermès à ne pas être associé aux sociétés familiales du groupe éponyme, a entrepris un lent rapprochement avec ses cousins.
Jusqu'alors, le frère de l'ancien DRH d'Hermès, Bertrand Puech, faisait bande à part. A la fin des années 2000, lorsque le groupe avait fait l'objet d'un raid de LVMH, Nicolas Puech avait même prêté une partie des 5,7 % du capital dont il dispose au géant du luxe afin de lui permettre de monter au capital du sellier (Glitz du 13/10/22). Lorsqu'en 2014, l'opération de LVMH s'était finalement soldée par un échec, il avait refusé d'apporter ses titres à H51 et H2, les deux structures familiales mises en place pour prévenir d'autres raids. Depuis, Hermès comptabilise ses titres dans une catégorie spéciale, labellisée "autres membres du groupe familial Hermès".
Nouveau conseil pour Nicolas Puech
Agé de 80 ans et dépourvu d'héritier, Nicolas Puech a récemment mandaté un notaire rattaché à un cabinet du Valais, l'Etude du Ritz, pour le conseiller sur sa situation patrimoniale. Une petite révolution : depuis plus de trente ans, c'est le Suisse Eric Freymond, à la fois ami, conseiller et gestionnaire de fortune de Nicolas Puech, qui était l'interlocuteur incontournable de ce dernier sur toutes les questions en la matière.
Mais sa mise en examen pour "faux et usage de faux" en France en 2019, révélée par Glitz.paris (16/03/23) et activement combattue par Freymond, est venue compliquer la relation entre les deux hommes, ce d'autant plus qu'elle découle d'un dépôt de plainte… d'Hermès. Le mandat d'Eric Freymond au conseil d'administration de la Fondation Nicolas Puech (Glitz du 12/01/23) doit en outre expirer l'an prochain.
Opérations sous couverture
Un relâchement des liens entre Eric Freymond et Nicolas Puech, assorti d'un rapprochement entre ce dernier et les trois familles qui contrôlent Hermès, les Puech, les Dumas et les Guerrand, permettrait au groupe de luxe de colmater la dernière fragilité de son capital. Car le maintien de l'héritier réfractaire hors des structures familiales en fait le vecteur idéal et discret pour tous les membres de la famille qui souhaitent céder des actions. Passé de 250 € à près de 2 000 € en dix ans, le titre Hermès est en effet devenu un actif hautement valorisable.
Durant la tentative de prise de contrôle d'Hermès par LVMH, Eric Freymond, qui dispose d'une délégation de gestion sur plusieurs comptes de Nicolas Puech, notamment au sein des banques Lombard Odier et Pictet, a usé de ces comptes pour racheter des titres à plusieurs héritiers d'Emile Hermès. Vue de l'extérieur, l'opération paraissait être une vente d'actions au sein de la famille - en réalité, les parts ainsi achetées venaient grossir celle du groupe de Bernard Arnault. Chacune de ces opérations, menées sous couverture, est complaisamment détaillée dans la plainte qu'a déposée, puis retirée en 2019, Eric Freymond contre LVMH, et dont Glitz.paris a révélé l'existence (23/03/23, 27/03/23 et 30/03/23).
Dans ce document, Eric Freymond précise comment, grâce à sa proximité avec le banquier Marc Brune, gestionnaire de fortune d'Hubert Guerrand, il a acheté en 2001 à cet héritier Hermès décédé en 2016 quelque 180 000 actions représentant 1 % du capital. La plainte de Freymond indique que l'opération a été renouvelée à de nombreuses reprises. Selon ses dires, le financier suisse a par ailleurs monté un prêt de 35 millions d'euros au bénéfice de l'arrière-petit-fils d'Emile Hermès, Pierre-Alexis Dumas, garanti par 200 000 actions Hermès, qui seront finalement acquises par LVMH. Il a fait de même, à hauteur de 10 millions d'euros, avec les membres de la famille Guerrand exilés au Maroc et au Portugal.
Colmater les fuites
Pour mettre fin à ce goutte-à-goutte d'actions qui empêche le groupe de sécuriser durablement son capital, les responsables d'Emile Hermès SAS, la société familiale en commandite qui gère Hermès International, tentent donc de réintégrer Nicolas Puech. Cette opération aurait mécaniquement pour conséquence de l'éloigner de son conseil historique, Eric Freymond.
D'ores et déjà, et depuis l'année dernière, les trois familles actionnaires travaillent, comme l'a détaillé Glitz.paris, à mutualiser la gestion des patrimoines familiaux dans des sociétés communes (Glitz du 06/04/23).
