Renault-Nissan Talks Hit Snag Over Intellectual Property, Other Issues
Auto makers are negotiating pact that would reshape their alliance for the electric-vehicle era

Renault SA RNO -1.92% and Nissan Motor Co. NSANY 1.45% are struggling to nail down a deal that would reshape their alliance, with intellectual property among the sticking points, according to people with knowledge of the talks.

Discussions so far between Renault and Nissan have outlined a plan under which the French auto maker would reduce its current 43% stake in its Japanese partner to 15%, people at the companies said. The shares to be disposed of would be put into an independent financial trust and then sold at a later date at a predetermined price, the people said.

In exchange, Nissan would invest in Renault’s new electric-vehicle business, which the French auto maker aims to take public next year, the people said.

Renault and Nissan had been hopeful that they could strike a preliminary nonbinding agreement to reshape their more than two-decade-old alliance as soon as late October, people at the companies said. But several sticking points have delayed such a deal from being concluded, people familiar with the discussions said.

A major one involves jointly developed intellectual property and how it would be transferred to Renault’s new EV business, people familiar with the talks said.

Nissan also doesn’t want technology that it developed with Renault to be shared with Chinese automotive giant Zhejiang Geely Holding Group Co., which is planning to take a stake in Renault’s gasoline-car business, the people said.

Patents and other intellectual property involving batteries—in particular solid-state battery technology—have become a major point of contention, they said. Nissan has been developing the next-generation batteries in-house and plans to start a pilot production line in the year beginning April 2024.

The companies and the French state are also negotiating over what kind of voting rights Nissan would have in Renault after a deal is concluded, an issue that some people familiar with the talks described as unresolved.

Under French law, a shareholder that holds its shares for two years or more generally gets double voting rights. Nissan, a longstanding 15% shareholder in Renault, hasn’t been able to vote its shares because Renault holds a greater than 40% stake in Nissan. Once Renault’s stake fell below the 40% threshold, Nissan would normally be entitled to vote its shares with double rights.

However, Renault and the French government want to cap Nissan’s voting rights at 15%, people familiar with the matter said. The French side believes this would put the two car makers on an equal footing with each holding 15% voting rights in the other, they said.

The companies have been planning to review and vote on the agreement in mid-November when directors from both car makers will meet in Japan, people at Renault and Nissan said. The plan had been to reveal the deal publicly shortly thereafter.

While people at the companies say they still expect to reach a deal and Renault and Nissan management are still aiming to hold an announcement in November, they say the companies are likely to fall behind their original timeline because of the snags in the negotiations.

Nissan executives have long been frustrated by what they believe is a lopsided power structure in the alliance. Renault owns 43% of Nissan, a stake that exceeds the 15% Nissan holds in its smaller French partner and has given Renault outsize influence in the partnership.

The deal is aimed at easing tensions by equalizing the stakes while assuring Renault of its partner’s backing as the two companies move into the EV age. Renault has said it is creating the new EV business, known internally by the code name Ampère, to help ensure it can fund the costly transition away from the combustion engine by raising capital from outside investors.

Ampère would develop the software, parts and technology that are needed for battery-powered models but would remain majority-owned by Renault, people with knowledge of the plans said.

LONDON—One of the first closely watched seasonal outlooks for what the European winter holds sees colder and drier weather than usual across the U.K. and Northern Europe, conditions that could add pressure on governments and companies managing the continent’s supply of natural gas.

The U.K. Meteorological Office on Monday said there was an increased likelihood of the next three months being colder than normal with average temperatures likely to sit between four and just-below six degrees Celsius, equivalent to between 39.2 and 42.8 degrees Fahrenheit, in the U.K., which is slightly below the average seen over the last five years. The forecasting agency added that it was also likely to be drier than normal, with lower chances of heavy rainfall between November and January.

No single forecast is definitive and so-called seasonal outlooks like the one provided by the U.K. come with caveats. They aren’t as precise as the one- to five-day forecasts that weather services can make with relative accuracy. Forecasters, including the Met Office, say the science around such long-range forecasting is still emerging.

Still, as an early look, “this all suggests that heating related gas demand will be up this winter,” said Caroline Bain, chief commodities economist at Capital Economics. “People are not going to switch off the heating if they are cold, and so we’re likely to get sustained heating-related demand.”

The Met Office’s forecast is specific to the U.K., but the 168-year-old agency’s predictions have implications for the continent as a whole, in part owing to its expertise in modeling the North Atlantic Oscillation, an important factor for predicting weather across Europe.

The update issued Monday also comes at a time of year when some of the weather trends that can make a difference in the severity of the winter start to settle down. That can make it easier to predict longer-term scenarios for the entire season.

Gas prices extended recent declines on Monday, driven lower by the large supplies of fuel that Europe has accumulated throughout the year. Benchmark wholesale prices for gas in the Netherlands fell 9% to about 127 euros, or $126, a megawatt-hour. U.K. prices fell 7% to 3.14 pounds, or $3.62, per therm.

Futures contracts suggest gas will become more expensive when temperatures fall over winter but that prices won’t regain the highs recorded in August. One reason is that recent warm weather has delayed the date at which Europe dips into its storage, so will be more gas to heat homes if a late cold snap strikes.

The Met Office’s outlook, along with a handful of others expected this month, are being more closely followed than usual this year. In the wake of Russia’s invasion of Ukraine, Europe has tried to pivot away from its reliance on Russian gas. Moscow, meanwhile, has largely turned off the tap, in retaliation for Western sanctions.

That has set off a scramble in recent months by governments and utilities to take gas from other sources and encourage residents and businesses to conserve the fuel. Companies across the continent have shut down production amid super high prices and calls to save gas. European countries have also rushed to buy shipped gas, called liquefied natural gas, from places such as the U.S. and Qatar.

All those moves have swollen European gas-storage facilities. More gas waiting on LNG tankers idling off the coast. Gas prices have fallen sharply since the summer amid the glut.

Whether the stored gas will be sufficient to get Europe through the winter depends on how cold and windy the season is. Governments are hoping for a mild, wet winter, which can also bring higher wind. That could help boost wind-power generation.

Natural-gas prices have been falling in recent weeks on lower demand, with European stores of gas rising to roughly 94% of total capacity. That is thanks in part to the very mild temperatures seen across the continent during the fall.

Ms. Bain said that European gas markets have seen significant demand reduction from industry, with output of metals, fertilizers and other key sectors all being slashed to help stem the issues coming from gas cuts from Russia, easing prices.

However, a lack of wind and rainfall is likely to push gas demand and prices higher—on top of the colder conditions—given renewable energy sources may not be as readily available, according to analysts.

Capital Economics is currently forecasting European benchmark prices to hit €150 a MWh by the end of the year. This remains well below the highs seen this year when prices reached €349.90 a MWh in late August.

Washington and Canberra forge closer links to counter Beijing in the Indo-Pacific

The US plans to deploy B-52 bombers to Australia, in Washington’s latest effort to boost military co-operation with Canberra and send a strong signal to China as tensions mount in the Indo-Pacific.

The Pentagon will deploy the B-52s, which carry nuclear or conventional weapons, to Australia’s Northern Territories as part of rotational bomber task forces that conduct exercises with allies. They will be deployed to Tindal air force base for short missions, according to a person familiar with the situation.

The US has deployed B-52s to Australia before. In 2018, two of the bombers conducted exercises with Australian forces in Darwin.

However, sending as many as six of the aircraft would mark a big increase in presence and comes as the US and Australia seek to work more closely together to counter Chinese activity, particularly near Taiwan.

“The US air force has been rotating bombers through Australia for years . . . so this isn’t new, but a total of six bombers does appear like a significant enhancement to previous deployments and is likely to draw the attention of both regional allies and Beijing,” said Eric Sayers of the American Enterprise Institute think-tank.

“It hints at a future where bomber and tanker rotations will become a regular occurrence or even a permanent presence one day.”

In July, the US sent four nuclear-capable B-2 Spirit stealth bombers to Amberley air force base near Brisbane, in another deployment that was partly aimed at sending a deterrence message to China. Another B-2 flew to Amberley in March while Admiral John Aquilino, head of US Indo-Pacific command, was on a week-long visit to the country.

Australia has accelerated forging closer military ties with the US over the past decade as tensions with China have risen. Last year, the US, Australia and UK signed “Aukus”, a trilateral deal that will provide nuclear-propelled submarines for the southern hemisphere country and boost military research and development.

It is unclear when the US will begin the B-52 deployments. The move comes as the Pentagon debates how to deter China, where in the Indo-Pacific to deploy assets and the right balance between stationing aircraft in the region and sending them to countries on shorter rotational deployments.

The Financial Times reported last week that the US would start a two-year process to remove four dozen ageing F-15 fighter jets stationed in Okinawa. The air force will temporarily replace the jets with more advanced F-22 fighters that will rotate into Okinawa from Alaska.

The air force said its commitment to regional deterrence and the defence of Japan was “ironclad” and that it would maintain a “steady state presence” in Okinawa. But it added that it had not established a long-term solution to replace the F-15s, which some critics have argued weaken US deterrence and sends a dangerous message to the Chinese military.

The Australian defence department did not comment on the B-52 deployment. Prime Minister Anthony Albanese told reporters: “We engage with our friends in the US alliance from time to time. There are visits to Australia, including in Darwin, that has US marines on a rotating basis stationed there.”

The Pentagon referred questions to the US air force, which did not respond to a comment on the development, which was first reported by ABC News.

Après les Etats-Unis, la licorne vise le marché des créateurs de contenus en Asie et en Europe, où ses algorithmes analysent les futurs chaînes à succès.

Un bureau à New York, un autre à Los Angeles. Lancée aux États-Unis en 2016, Jellysmack nage à son aise dans le grand bain de la tech américaine. Après avoir levé plus de 900 millions de dollars l'an dernier, la société fondée par trois Français, Michael Philippe, Robin Sabban et Swann Maizil, a embarqué le fonds japonais SoftBank Vision II à la conquête des marchés européen et asiatique.

Un vivier de créateurs. Les trois fondateurs détiennent les clés d'une technologie qui accroît la visibilité de leurs vidéos sur YouTube, TikTok ou Facebook. Leur secret? Un mélange d'expertise en réseaux sociaux, de montage et d'analyse de données. "Depuis le début, nous sommes une boîte de tech dans l'âme, dit Harry Levy, ex-Google, manager de la stratégie pour l'Europe et les marchés émergents EMEA. Nous sommes capables d'améliorer par trois ou quatre le temps que les internautes passent devant une vidéo."

Du sur-mesure
Par la magie de ses algorithmes, un influenceur peut espérer atteindre des millions de vues en se développant simultanément sur plusieurs plateformes. Un travail qui nécessite néanmoins d'adapter le contenu de ses vidéos à chaque format. Des Reels pour TikTok, des Stories pour Instagram, des Shorts sur YouTube… Du temps que Jellysmack propose aux créateurs d'économiser en effectuant cette étape de montage à leur place.

A partir d'un même contenu, la start-up peut simuler jusqu'à 30 versions de travail et tester leur performance. "On va jouer sur le titre ou sur l'aperçu de la vidéo", détaille Harry Levy. Installées à Corte, en Corse, ses équipes techniques ont mis au point des modèles pour prédire l'audience de chaque vidéo et les revenus publicitaires associés. Portée par le succès de ses propres chaînes sur Facebook, comme "Beauty Studio", "Gamology" ou "Oh My Goal", Jellysmack possède un immense stock de données qui lui permet d'optimiser ce travail.

Une expertise dont elle fait profiter ses partenaires. Ainsi, l'animateur de radio Cauet a vu sa page Facebook propulsée de quelques milliers d'abonnés à plus de 4 millions en un an. Une marge de croissance considérable pour ces créateurs, dont les revenus dépendent de la publicité sur les plateformes. "C'est un modèle où chacun est gagnant", souligne Benjamin Brillaud, le créateur de la chaîne Nota Bene sur YouTube. "Ils retravaillent mes vidéos, et moi, je partage les revenus qu'ils me font gagner", poursuit ce passionné d'histoire qui a, ainsi, élargi sa communauté de fans sur Facebook.

Boom de la creator economy
Avec plus de 1.000 employés, la start-up assure être rentable depuis deux ans, mais elle a dû alléger ses effectifs de 8% en juin, rapporte le média en ligne Business Insider.
